Terms of Service

Welcome to Wave Analytica. These Terms of Service (“Terms”) govern your access to and use of the Wave Analytica websites, applications, dashboards, APIs, software, and related services (collectively, the “Services”), operated by Wave Analytica (“Wave Analytica,” “we,” “us,” or “our”).

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

 

1. Eligibility and Account Registration

You must be at least 18 years old to use the Services. You agree to provide accurate and complete information during account registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

 

2. Description of Services

Wave Analytica provides cloud-based software tools offered under a freemium model, including:

  • WAVEx – a cyber threat intelligence dashboard with deep and dark web search capabilities

  • WaveDrift – an agentic machine learning and analytics platform

Free accounts provide limited access to the Services. Paid subscription plans provide access to backend APIs in tiered usage levels, including but not limited to:

  • Tier 1: up to 5 API calls per day

  • Tier 2: up to 100 API calls per day

Usage limits, features, and pricing are subject to change at our discretion.

 

3. Subscription Plans, Billing, and Cancellation

Paid subscriptions are billed in advance on a recurring basis. You may cancel your subscription at any time. Upon cancellation or expiration:

  • Your access to paid features, including API access, will terminate immediately

  • You will no longer have access to any machine learning models created using the Services

  • Previously created models will not be retrievable, exportable, or accessible

We do not provide refunds for unused subscription periods unless required by law.

 

4. User Data and Uploaded Content

You retain full ownership of any data, datasets, files, or other materials (“User Data”) that you upload to the Services.

By uploading User Data, you grant Wave Analytica a limited, non-exclusive, royalty-free license to use, process, store, and analyze such data solely for the purpose of providing and improving the Services.

Wave Analytica does not claim ownership over your uploaded data.

 

5. Machine Learning Models and Derived Artifacts

Any machine learning models, model weights, pipelines, agents, or derived artifacts created, trained, generated, or instantiated using the Services (“Models”) are and shall remain the exclusive property of Wave Analytica, regardless of the data used to create them.

You acknowledge and agree that:

  • Models are licensed to you solely for use within the Services

  • Models cannot be downloaded, exported, reverse engineered, or accessed outside the Services

  • Continued access to Models requires an active subscription

  • Upon account cancellation or termination, all access to Models is permanently revoked

 

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations

  • Infringe intellectual property rights

  • Conduct unauthorized surveillance, hacking, or exploitation

  • Upload malicious code or harmful content

  • Attempt to bypass usage limits or access controls

Wave Analytica reserves the right to suspend or terminate accounts that violate these terms.

 

7. Intellectual Property

Except as expressly stated, all rights, title, and interest in and to the Services—including software, APIs, interfaces, dashboards, algorithms, documentation, and trademarks—are owned by Wave Analytica and are protected by intellectual property laws.

No rights are granted except as expressly set forth in these Terms.

 

8. Confidentiality and Security

While we implement reasonable security measures, you acknowledge that no system is completely secure. You are responsible for determining whether the Services are appropriate for your use case, particularly when handling sensitive or regulated data.

 

9. Disclaimers

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Wave Analytica does not warrant that the Services will be uninterrupted, error-free, or completely accurate.

 

10. Limitation of Liability

To the maximum extent permitted by law, Wave Analytica shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising out of your use of the Services.

 

11. Indemnification

You agree to indemnify and hold harmless Wave Analytica from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

 

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, all licenses granted to you immediately cease.

 

13. Governing Law

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles.

 

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
